These Provider Pool Terms and Conditions, is a legal agreement between Provider Pool, Inc. and the person (you) who registered an Account using the Register Page available at our web site. This is a contract between you (the Customer) and us (Provider Pool). It describes the services we will provide to you, how we will work together, and other aspects of our business relationship. It is a legal document so some of the language is necessarily “legalese”, but we have tried to make it as readable as possible. These terms are so important that we cannot provide our products and services to you unless you agree to them. By using the Subscription Service or receiving the Consulting Services, you are agreeing to these terms. We periodically update these terms. If you have an active Provider Pool subscription, we will let you know when we do via an email or in-app notification. You can find archived versions of the terms here.

1. General Terms

By accessing and using the Site, you agree to these Terms of Use. Provider Pool reserves the right to modify these Terms of Use at any time without giving you prior notice. Your use of the Site following any such modification constitutes your agreement to follow and be bound by these Terms of Use as modified. The last date these Terms of Use were revised is set forth below.

2. Ownership and License

You may use the Site, and the information, writings, images and/or other works that you see, hear or otherwise experience on the Site (singly or collectively, the "Content") solely for your non-commercial, personal purposes and/or to learn about Provider Pool products and services, and solely in compliance with these Terms of Use.

The Site is based upon proprietary Provider Pool technology and includes the Content. The Site is protected by applicable intellectual property and other laws, including trademark and copyright laws. The Site, including all intellectual property rights in the Site, belongs to and is the property of Provider Pool or its licensors (if any). Provider Pool owns and retains all copyrights in the Content. Except as specifically permitted on the Site as to certain Content, the Content may not be copied, reproduced, modified, published, uploaded, posted, transmitted, performed, or distributed in any way, and you agree not to modify, rent, lease, loan, sell, distribute, transmit, broadcast, or create derivative works based on the Content or the Site, in whole or in part, by any means. Provider Pool, the Sprocket Design, the Provider Pool logos, and other marks used by Provider Pool from time to time are trademarks and the property of Provider Pool. The appearance, layout, color scheme, and design of the Provider Pool.com site are protected trade dress. Customer does not receive any right or license to use the foregoing. Provider Pool may use and incorporate into the Site or the Provider Pool Service any suggestions or other feedback you provide, without payment or condition. Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement on the Site or the Service should be sent to Provider Pool's designated Copyright Agent. 3. Your Account

You represent that you have all right, title, and interest to materials you post on the Site or provide to Provider Pool ("Materials"), including but not limited to any consent, authorization, release, clearance or license from any third party (such as, but not limited to, any release related to rights of privacy or publicity) necessary for you to provide, post, upload, input or submit the Materials, and that posting such Materials does not violate or constitute the infringement of any patent, copyright, trademark, trade secret, right of privacy, right of publicity, moral rights, or other intellectual property right recognized by any applicable jurisdiction of any person or entity, or otherwise constitute the breach of any agreement with any other person or entity. You further represent and warrant that you are who you say you are, that you have not submitted fictitious, false or inaccurate information about yourself, and that all information contained in the posted Materials is true and your own work or work you are authorized to submit, and that the posted Materials do not contain any threatening, harassing, libelous, false, defamatory, offensive, obscene, or pornographic, material, or other material that would violate any other applicable law or regulation. You agree that you will not knowingly and with intent to defraud provide material and misleading information. You represent and warrant that the Materials you supply do not violate these Terms of Use.

4. No Warranties

You will use the Provider Pool Community for its intended purpose only, and will not use it for solicitation or advertising purposes, unless we otherwise agree. Your Content should typically relate to inbound best practices, the Provider Pool products or their use. The Provider Pool Community is meant for public discussion, so you may not disclose or solicit anyone's private information or disclose confidential information. You are responsible for the use by third parties of any personal information disclosed by you to the Provider Pool Community, whether or not you permitted such use. This means that no private or personal information should be exchanged within the Provider Pool Community. Upon our consent, certain users may be permitted to include a link as part of their signature information, which another user may click to leave the Provider Pool Community and obtain or share additional information. If you share your information by following one of these links, then you grant us the right to further share your information with trusted partners so that they may contact you about inbound marketing or sales service offerings.

Confidentiality

We at Provider Pool (Provider Pool, Inc. and our affiliates) are committed to protecting your privacy. This Privacy Policy applies to the information and data collected by Provider Pool as a controller, including the information collected on our Websites (www.Provider Pool.com, www.Provider Pool.de, www.Provider Pool.fr, www.Provider Pool.es, www.Provider Pool.jp, br.Provider Pool.com, and www.inbound.com) or through other channels as described below. It also describes your choices regarding use, access and correction of your personal information. If you do not agree with the data practices described in this Privacy Policy, you should not use the Websites. This Privacy Policy does not apply to the data Provider Pool processes on behalf of our customers (Customer Data) in our capacity as a processor. Your use of the Provider Pool Subscription Service (the Subscription Service) as a customer of Provider Pool, including use of our associated mobile applications (Mobile Apps), is covered under the Provider Pool Product Privacy Policy. We periodically update this Privacy Policy. We will post any privacy policy changes on this page and, if the changes are significant, we will provide a more prominent notice by sending you an email notification, or if you subscribe to the Subscription Service, through the Notification app in your Provider Pool portal. While we will notify you of any material changes to this Privacy Policy prior to the changes becoming effective, we encourage you to review this Privacy Policy periodically. We will also keep prior versions of this Privacy Policy in an archive for your review.
